We are regularly involved in commercial bank loans and private placement transactions in which we advise foreign and domestic borrowers and issuers, banks, finance companies, insurance companies and other institutional investors in private placements, cross-border financings, convertible debt and equity investments, project finance, revolver and term loans, leveraged acquisition financings, real estate financings and financial restructurings.
Our banking and finance department has recently represented:
- Apax Partners in a US$1 billion financing of the acquisition of Tnuva, one of Israel's largest corporations.
- The Saban Group, Apax Partners and Mori Arkin in a US$1 billion financing their acquisition of a 30%-equity interest in Bezeq, including bank credit and mezzanine debt.
- The Saban Group, Apax Partners and Mori Arkin, in financing the exercise of an option to purchase an additional 10% stake in Bezeq share capital from the State of Israel, in exchange for a total amount of NIS1.1 billion.
- A large foreign corporation, in a US$270 million debt restructuring, through various financing agreements and acquisition of high-yield bonds.
- AUS-based corporation, in the issuance of public and private debt in a total sum of US$230 million.
- A reputable U.S. investment company, in financing a US$600 million acquisition of a 50% equity interest in Israel's second-largest mobile communications provider.
- A U.S. fund, in a US$75 million refinancing of an Israeli manufacturer and owner of satellites.
